Terms & Conditions.

These Terms and Conditions apply to all orders placed with Nelly’s Cakes. By placing an order and paying the deposit, the client confirms they have read, understood, and agreed to all terms set out below. These terms constitute a binding agreement between the client and Nelly’s Cakes.

1.Payment Terms

  • A non-refundable deposit of 50% of the total order value is required to confirm and secure your order. No order is reserved until the deposit is received.
  • The remaining balance must be paid in full no later than 3 calendar days before the event date.
  • Orders placed within 3 calendar days of the event date require full payment at the time of booking.
  • If the balance is not received by the due date, Nelly’s Cakes reserves the right to cancel the order without notice and without refund of the deposit.
  • All payments are to be made in UAE Dirhams (AED) via bank transfer, cash, or any other method agreed upon in writing.

2.Order Confirmation

  • All quotations are valid for 5 calendar days from the date of issue, unless otherwise stated in writing.
  • An order is only confirmed upon receipt of the deposit and the client’s written acceptance of the quotation via email or WhatsApp.
  • Production will not commence until both conditions above are met.
  • Verbal agreements or informal expressions of interest do not constitute a confirmed order.

3.Changes & Modifications

  • All change requests must be submitted in writing via email or WhatsApp.
  • The following deadlines apply strictly, without exception:
    • Complex designs: no changes accepted within 10 calendar days of the event date.
    • Simple designs: no changes accepted within 5 calendar days of the event date.
    • Filling changes only: no changes accepted within 3 calendar days of the event date.
  • Approved changes may result in additional costs, which must be settled prior to delivery.
  • Nelly’s Cakes reserves the right to decline change requests that are not feasible within the production timeline or that compromise the integrity of the order.

4.Cancellations & Refunds

  • The 50% deposit is strictly non-refundable under all circumstances, including change of plans, venue changes, or personal circumstances.
  • Cancellations made more than 3 calendar days before the event date will not incur charges beyond the deposit.
  • Cancellations made within 3 calendar days of the event date will require payment of the full order amount, regardless of whether production has commenced.
  • In the event of force majeure (including but not limited to acts of God, government-imposed restrictions, or natural disasters), Nelly’s Cakes will make reasonable efforts to reschedule the order. Refunds in such circumstances cannot be guaranteed and will be assessed on a case-by-case basis.

5.Delivery & Setup

  • Delivery times are agreed upon in advance and confirmed in writing. Nelly’s Cakes will make every reasonable effort to meet the agreed schedule.
  • Nelly’s Cakes shall not be held liable for delays caused by circumstances outside of our control, including but not limited to traffic, road closures, or access restrictions at the venue.
  • Upon delivery and handover, responsibility for the cake transfers to the client or their designated representative, unless Nelly’s Cakes staff are contracted to remain on-site.
  • Where on-site attendance is not requested or included in the order, Nelly’s Cakes accepts no liability for any damage, deterioration, or loss occurring after handover.
  • Clients opting for self-collection accept full responsibility for the safe handling and transportation of the cake from the moment it leaves our premises. Nelly’s Cakes accepts no liability for damage sustained during client-arranged transport.
  • Nelly’s Cakes does not guarantee the gender of the delivery driver assigned to any order. Where a female delivery driver is specifically required, this must be requested in writing via email or WhatsApp at the time of placing the order and is subject to availability. Nelly’s Cakes will confirm in writing whether this request can be accommodated. If confirmation has not been provided in writing, the request cannot be considered agreed upon.

6.Venue Access

  • Nelly’s Cakes shall not be held liable for any consequences arising from denied or delayed access to the venue at the time of delivery or setup.
  • It is the sole responsibility of the client to ensure that Nelly’s Cakes staff are granted timely and unobstructed access to the venue.
  • Any delay caused by venue restrictions that affects the setup, presentation, or condition of the cake does not entitle the client to a refund or compensation.

7.Storage & Shelf Life

  • All cakes have a shelf life of 5 calendar days when stored correctly in a refrigerator.
  • All edible Zefyr flowers can stay outside the refrigerator for a couple of hours and have a shelf life of up to 28 calendar days when stored correctly in a refrigerator.
  • Nelly’s Cakes accepts no liability for any consequences, including illness or deterioration in quality, resulting from the consumption of cake or sweets beyond this period.
  • Storage instructions will be provided at the time of delivery, and it is the client’s responsibility to follow them.

8.Cake Display: Tables & Stands

  • Nelly’s Cakes does not provide cake tables or stands unless explicitly agreed upon in writing prior to the event.
  • The client is responsible for ensuring that the table or stand used to display the cake is stable, level, and capable of safely supporting the full weight of the cake.
  • Nelly’s Cakes accepts no liability for damage to the cake caused by an unstable or inadequate display surface, nor for any damage to or breakage of tables or stands belonging to the client or venue.

9.Non-Edible Components

  • Certain cakes may contain non-edible elements, including internal structural supports, dowels, spacers, or decorative items. These will be clearly communicated at the time of order.
  • All non-edible components remain the property of Nelly’s Cakes and must be returned to us following the cake-cutting ceremony. It is the client’s responsibility to ensure these items are made available for collection, unless mentioned otherwise in writing.
  • Nelly’s Cakes accepts no liability for injury or harm resulting from the consumption of non-edible components where the client has been informed of their presence.

10.Allergies & Dietary Requirements

  • All allergies, intolerances, and dietary requirements must be disclosed in writing via email or WhatsApp at the time of placing the order.
  • While we take all reasonable precautions, our kitchen handles common allergens including but not limited to gluten, dairy, eggs, nuts, and soy. We cannot guarantee a fully allergen-free environment.
  • Nelly’s Cakes accepts no liability for any adverse reactions.
  • It is the sole responsibility of the client to inform their guests of any allergens present in the cake.
  • Nelly’s Cakes does not guarantee the suitability of any product for individuals with underlying health conditions, illness, or pregnancy. It is the sole responsibility of the client and their guests to consult a relevant medical professional prior to consumption where applicable. Nelly’s Cakes accepts no liability for any adverse effects resulting from the consumption of our products by individuals with health conditions or during pregnancy.

11.Cake Tasting Sessions

  • Cake tasting sessions are available at a fixed cost of AED 300 per session. This amount is fully deductible from the final agreed cake price upon confirmation of the order.
  • Tasting sessions must be booked in advance.
  • As each tasting set is freshly prepared specifically for the session, the AED 300 fee is strictly non-refundable in the event of cancellation, regardless of the notice given.

12.AI-Generated Design References

  • Nelly’s Cakes welcomes design inspiration in all forms, including AI-generated images. However, clients should be aware that many AI-generated cake designs contain elements that are technically unrealistic or not achievable in practice with real ingredients and structural requirements.
  • Where an AI-generated image is used as a reference, Nelly’s Cakes will advise the client on feasibility. Variations in colour, finish, proportion, and design detail are to be expected and are inherent to the handcrafted nature of our work.
  • No guarantee is given that an AI-generated design will be replicated exactly. Submitting an AI image as a reference does not entitle the client to an exact reproduction, and dissatisfaction based solely on variation from an AI reference does not constitute grounds for a refund.

13.Design & Artistic Variation

  • Reference images and mood boards are used as creative direction only and do not constitute an exact replication guarantee. All cakes are handcrafted, and minor variations in colour, finish, or detail are inherent to the nature of the product.
  • Nelly’s Cakes reserves the right to make necessary adjustments to any design where required to maintain structural integrity, food safety standards, or overall quality.
  • Dissatisfaction with minor aesthetic variation does not entitle the client to a refund where the cake has been delivered and accepted.

14.Intellectual Property & Design Rights

  • All custom cake designs created by Nelly’s Cakes, including designs developed during or following a tasting and design consultation, remain the intellectual property of Nelly’s Cakes.
  • The client may not reproduce, share, or use these designs to commission the same or substantially similar cake from any other supplier.
  • In the event that a client is found to have provided a Nelly’s Cakes custom design to a third-party supplier, a penalty equivalent to the full quoted value of the original order will be charged and is immediately due.
  • Nelly’s Cakes reserves the right to pursue this claim through the appropriate legal channels.

15.Pricing Validity & Cost Adjustments

  • All quoted prices are based on ingredient and supply costs at the time of quotation.
  • For orders confirmed significantly in advance of the event date, Nelly’s Cakes reserves the right to review and adjust pricing in the event of material increases in ingredient or supply costs prior to production commencing.
  • The client will be notified in writing of any such adjustment and given the opportunity to confirm or cancel the order. In the event of cancellation due to a price adjustment, standard cancellation terms apply.

16.Deposit Transfer

  • In exceptional circumstances, a paid deposit may be transferred to a new event date, subject to Nelly’s Cakes confirming availability for the requested date in writing.
  • No transfer is guaranteed. If the requested new date is unavailable, or if no suitable alternative is agreed upon within a reasonable timeframe, the original cancellation terms apply and the deposit is forfeited.

17.Third-Party Supplied Components

  • Where elements of the cake, including but not limited to fresh flowers, printed decorations, or specialty toppers, are sourced from third-party suppliers, Nelly’s Cakes’ liability is limited to the cost of those components only.
  • Nelly’s Cakes accepts no liability for the unavailability of specific third-party components due to seasonal, logistical, or supply constraints. In such cases, Nelly’s Cakes will propose suitable alternatives and will seek client approval before proceeding.
  • Refusal to accept a reasonable alternative does not entitle the client to cancel the order without standard cancellation terms applying.

18.Complaints & Claims

  • Any complaint regarding the cake must be raised at the time of delivery or, where staff are present, before the cake-cutting ceremony.
  • Claims raised after the event has taken place will not be considered unless supported by documented evidence submitted within 24 hours of the event.
  • Nelly’s Cakes’ total liability in respect of any claim shall not exceed the total amount paid for the order.
  • Nelly’s Cakes accepts no liability for indirect, consequential, or incidental losses of any nature, including reputational damage, event disruption, or emotional distress.

19.Photography & Social Media

  • Nelly’s Cakes reserves the right to photograph all cakes produced and to use such photographs for portfolio or advertising purposes unless the client explicitly requests otherwise in writing at the time of ordering.
  • Where a client grants written approval for their photos to be used on social media or in advertising materials, that approval is considered final and irrevocable. The client waives any right to file a complaint, claim, or legal case against Nelly’s Cakes in connection with the use of those approved images.
  • Approval may be given via email or WhatsApp and constitutes a binding consent to publication.

20.Wedding Planner Clause

  • Unless explicitly stated otherwise in a separate written agreement, the contract for any order placed with Nelly’s Cakes is between Nelly’s Cakes and the client directly.
  • A wedding planner facilitating the order does so as a representative of the client and assumes no financial liability in connection with the order.
  • Where Nelly’s Cakes has entered into a formal written arrangement with a wedding planner, the terms of that arrangement shall govern accordingly.

21.Governing Law

  • These Terms and Conditions are governed by the laws of the United Arab Emirates. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of the UAE.

By placing an order and submitting a deposit or full payment, the client automatically accepts and agrees to all Terms and Conditions set out in this document.
